Template — have a lawyer review before launch

This document is a starting point, not legal advice. The highlighted placeholders still need to be filled in, and a qualified lawyer should review it for your business, the countries you operate in and your use of AI before you go live.

These Terms of Service (“Terms”) govern your use of RingLily, an AI phone receptionist service provided by [Company legal name] (“RingLily”, “we”, “us”). Please read them carefully.

Agreement to these Terms

By creating an account or using RingLily, you agree to these Terms on behalf of the business you represent (“you”, the “customer”). If you do not agree, do not use the service.

RingLily is intended for businesses. You confirm that you are authorised to bind your business to these Terms.

Drafting note: If you offer the service to consumers, or to sole traders who get consumer rights under local law (for example in Poland), add the required consumer provisions.

Our Privacy Policy and our data processing agreement, which we provide on request at [contact email], form part of these Terms.

The service

RingLily provides AI agents that answer your business's phone calls, answer questions using the information you provide, take messages, book appointments, transfer calls to your staff, and produce transcripts and summaries of each call. The features available to you depend on your plan.

The agent's replies are generated by artificial intelligence and can occasionally be incomplete or inaccurate. You are responsible for reviewing your agent's configuration, transcripts and bookings, and for following up with callers where needed.

RingLily is not an emergency service. Your agent cannot contact emergency services, and anyone in an emergency must call 911 in the United States and Canada, 000 in Australia or 112 in the EU.

Your account

You must provide accurate information when you sign up and keep it up to date. You are responsible for keeping your login details secure and for all activity under your account.

Tell us immediately at [contact email] if you suspect unauthorised access to your account.

Acceptable use

When using RingLily, you must:

  • comply with all laws that apply to your business and your calls, including privacy, consumer protection and telecommunications laws;
  • comply with call recording and transcription consent laws everywhere you or your callers are located. Some US states require the consent of every party to a call, and you are responsible for obtaining any consent that is required;
  • keep your agent's greeting telling callers that they are talking to an AI and that the call is transcribed, and never present the agent as a human;
  • not use the service to handle emergency calls or situations where a delay could put someone at risk;
  • not use the service for unlawful, deceptive, harassing or fraudulent purposes, or to collect data you are not allowed to collect;
  • not configure the agent to give medical, legal, financial or other professional advice that should come from a qualified person;
  • only provide information, instructions and content that are accurate and that you have the right to use;
  • not try to access other customers' data, disrupt the service, get around its limits or reverse engineer it.

We may suspend or restrict accounts that breach this section, giving notice first where reasonably possible.

Your data

You keep all rights to the data and content you add to RingLily and to your call data. You allow us to process it only as needed to provide, secure and support the service.

For call data, you are the controller and we are your processor, as described in our Privacy Policy and data processing agreement. You are responsible for having a lawful basis to process your callers' data and for giving them any information the law requires.

Call transcripts are deleted automatically after the retention period you set in your account settings. You can delete individual calls or your whole account at any time.

Plans, billing and free trial

Our plans and prices are listed on our pricing page. In particular:

  • Subscription – plans are billed monthly in advance and renew automatically until cancelled.
  • Included minutes – each plan includes a number of call minutes per calendar month. Answered calls are counted per started minute, with a minimum of one minute per call. Unused minutes do not roll over.
  • Extra minutes – minutes beyond your plan's allowance are charged at your plan's per-minute rate.
  • Currency and taxes – customers in the United States, Canada and Australia pay in US dollars, and customers in the European Union pay in euros. Euro prices are net, and VAT is added where it applies.
  • Free trial – new accounts can try the service for 14 days with up to 10 call minutes. A valid payment card is required to start the trial, but nothing is charged during it. We email you a reminder a few days before the trial ends. When the trial ends, the monthly price of the plan you chose is charged to that card, and the subscription then renews every month until cancelled. To avoid any charge, cancel from the dashboard before the trial ends: the trial then runs until its end date and is not charged. If the trial minutes are used up before the trial ends, your agents stop answering until your paid plan starts, either when the trial ends or earlier if you start it from the dashboard.
  • Price changes – we will tell you at least 30 days before a price change takes effect. If you do not agree, you can cancel before the change applies.

Drafting note: Add any other taxes that apply, and adjust the 30-day notice period for price changes if needed.

Cancellation and termination

You can cancel your subscription at any time from the dashboard. Your plan stays active until the end of the current paid period and is not renewed after that.

Except where the law requires otherwise, payments already made are not refundable, including for partly used periods.

Drafting note: Adjust to your refund policy.

We may suspend or close your account if you seriously or repeatedly breach these Terms or do not pay. You can delete your account at any time in the settings, which permanently deletes your data.

Phone numbers

Phone numbers are provided through our telephony partner, Twilio. Numbers in the United States and Canada can be bought in the dashboard. Numbers in Australia and the EU require company documents and are set up on request, and their availability is not guaranteed.

If you cancel or delete your account, numbers we provided may be released and reassigned. If you forward your own number to RingLily, your arrangement with your phone provider remains your responsibility.

Drafting note: Describe number porting options, if any.

Availability and changes to the service

We work to keep RingLily available 24/7, but we do not guarantee uninterrupted service. The service relies on third-party providers, including telephony and AI providers, and may be affected by their outages or by maintenance.

Drafting note: Insert any service level commitments.

We may improve and change the service over time. If we remove a significant feature of your paid plan, we will tell you in advance.

Disclaimers

To the extent permitted by law, the service is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of fitness for a particular purpose.

We are not responsible for decisions you or your callers make based on the agent's replies, or for appointments, messages or transfers that are missed because of incorrect configuration, third-party outages or caller behaviour.

Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or relating to these Terms is limited to the amounts you paid us in the 12 months before the event giving rise to the claim.

To the maximum extent permitted by law, we are not liable for indirect or consequential losses, lost profits, lost revenue or lost data.

Nothing in these Terms limits liability that cannot be limited by law, such as liability for wilful misconduct.

Indemnity

You agree to indemnify us against claims by third parties, including your callers, arising from your use of the service in breach of these Terms or applicable law, including call recording and consent laws.

Governing law and disputes

These Terms are governed by [the laws of your country or US state]. Disputes will be resolved by the courts competent for our registered office, unless mandatory law provides otherwise.

Changes to these Terms

We may update these Terms. We will notify you by email or in the dashboard at least 30 days before material changes take effect. If you keep using the service after that date, the new Terms apply.
